What you need to have ready
  1. Certificado digital of the representative or Cl@ve active. If your gestor does it, have apoderamiento in AEAT and the power registered in the RM.
  2. NIF and denominación of the company, and the Registro Mercantil (province) where it’s registered.
  3. Bank card to pay the Registro Mercantil arancel.
  4. Email you check (look in spam; sometimes it lands there).
Documentation
  1. Escritura de nombramiento of the administrator or poder vigente (PDF) if they ask to prove representation.
  2. Identification of the applicant (validated via your Cl@ve/certificado digital).
  3. Registry data: province of the registro; if you have tomo/folio/hoja, better for precision.
  4. For AEAT: if you act for a third party, apoderamiento in the Registro de apoderamientos of the AEAT (can be done online with Cl@ve).
Step by step
  1. Registro Mercantil: go to https://www.registradores.org/registro-mercantil and choose Certificaciones. Select vigencia y cargos (what banks and tenders typically ask) or literal if they require that.
  2. Identify with Cl@ve or certificado. Choose the province of the Registro Mercantil where your company is registered and find it by NIF/denominación.
  3. Fill the request stating the scope (e.g., current officers, name, address). If requested, attach the escritura de nombramiento or the registered power.
  4. Pay the arancel via TPV. Save the receipt and the número de solicitud (it helps if you need to claim later).
  5. Download the certification as a PDF firmado from your account or wait for the email. Verify the firma by opening it with Adobe Reader (browsers often show it as “unknown signature”).
  6. AEAT (if requested): go to https://sede.agenciatributaria.gob.es, navigate to Todos los trámites > Certificados tributarios > Empresa > Estar al corriente de obligaciones tributarias. Identify yourself and get the PDF immediately.
  7. Deliver the PDFs where requested. If for abroad, ask if they need paper and apostilla.
Time-saving tricks
  • Ask exactly what they want: many ask for “certificado de vigencia y cargos” and an AEAT certificate dated within 3-6 months. Avoid ordering the wrong papers.
  • If your appointment isn’t registered yet, they will reject the certificate: register the appointment in the RM first, then request the certificate.
  • The registradores portal sometimes needs pop-ups enabled. Use a “clean” browser and allow cookies so you don’t fight the site.
  • For tenders, check whether they also need Seguridad Social clearance (you get it at https://sede.seg-social.gob.es or https://importass.seg-social.es).
Common mistakes to avoid
  1. Requesting a nota simple when they wanted a certificación: you’ll waste a day and money.
  2. Mixing up the Registro Mercantil Central (company names) with the provincial registry: the vigencia y cargos certification is issued by the provincial registry where the company is registered.
  3. Not proving representation: if you don’t upload the power/appointment when required, they reject it and you must repeat.
  4. Letting the certificate age out for a tender: they’ll reject it by date. Get a new one close to the deadline.
  5. Browser blocking downloads or signatures: disable blockers, allow pop-ups and validate the signature with Adobe.

  5. 5.Download the electronically signed certificate from your area on registradores.org or receive it by email (PDF signed by the registrador)
  6. 6.If they also ask for a tax certificate: go to https://sede.agenciatributaria.gob.es > Todos los trámites > Certificados tributarios > Empresa > Estar al corriente de obligaciones tributarias and request it with Cl@ve/certificado
  7. 7.Download the AEAT PDF from the sede (it usually issues immediately if everything matches); keep both PDFs to send where requested
  • Certificado digital or Cl@ve of the legal representative (or an apoderado with an inscrito power) of the company
  • NIF of the company and exact denominación social
  • Registro Mercantil of inscription (province; if you have tomo/hoja, even better)
  • Escritura de nombramiento de administrador or poder vigente inscrito (PDF) if they ask you to prove representation
  • Bank card to pay Registro Mercantil aranceles
  • Working email address (the certificate is sent there)
  • For AEAT: apoderamiento in AEAT if a third party does it (registration in the Registro de apoderamientos de la AEAT)
