- 1.Reserve the name: go to https://www.rmc.es and request the Certificación Negativa de Denominación Social. Pay the fee online and download the signed PDF.
- 2.Prepare statutes and capital: if you contribute cash, the bank issues a certificate of deposit; if not, declare it in the deed. If you use standard statutes/DUE, start the process at https://portal.circe.es (PAE).
- 3.Go to the notary (or sign online if your notary offers it) and execute the escritura de constitución with the name certification. The notary can request the provisional NIF from the AEAT and send the deed electronically to the Registro.
- 4.If the notary didn't request the NIF: log in with Cl@ve/certificado at https://sede.agenciatributaria.gob.es and submit Modelo 036 for a provisional NIF attaching the deed.
- 5.Registration: the Registro Mercantil Provincial examines and registers. Pay the arancel and you receive the registration certificate/registration sheet (the notary usually sends it).
- 6.Once registered, go back to the AEAT and submit Modelo 036 for the definitive NIF and censal registrations (IAE/IVA, tax address, obligations).
- 7.Legalise the mandatory books (diary, inventories and annual accounts, minutes and shareholders register) electronically at your Registro Mercantil: https://www.registradores.org
