- 1.Go to the Registro Mercantil Central and request the certificación negativa de denominación social: https://www.rmc.es/Denominaciones
- 2.Take that certificación to the notary and sign the escritura de constitución with the estatutos. If the notary processes via CIRCE, even better — it moves faster.
- 3.Using Cl@ve at https://sede.agenciatributaria.gob.es present the Modelo 036 to request the provisional NIF for the company and attach the copia simple electrónica of the escritura. Go to Censos/NIF de personas jurídicas. The provisional NIF is usually issued the same day.
- 4.File the escritura at the Registro Mercantil of your province (the notary usually sends it; if not, upload it via the Colegio de Registradores' telematic filing: https://www.registradores.org/registro-mercantil/) and pay the aranceles and BORME fees.
- 5.When the inscripción arrives, go back to the AEAT and submit Modelo 036 again to switch to the definitive NIF and declare epígrafes IAE and obligations (IVA, retentions, etc.).
- 6.Download and keep the NIF card, verify your domicilio fiscal and, if needed, provide your email for electronic notifications in the 036.
