- 1.Check your estatutos: if the new activity doesn't fit the objeto social, call a junta and approve the modification (clear agreement with the new objeto text).
- 2.Go to the notary with the agreement: elevate the modification to público and get the escritura signed.
- 3.Register the escritura in the Registro Mercantil of your province; if you file online use sede.registradores.org with your certificado (https://sede.registradores.org/site/mercantil). Afterwards they publish it in the BORME (https://www.boe.es/borme).
- 4.Update the censo in the AEAT with Modelo 036 marking 'Modificación' and indicating the new epígrafes IAE, start date, IVA/IS regimes, and the activity address (https://sede.agenciatributaria.gob.es/Sede/censos-nif-domicilio-fiscal.html).
- 5.If you are NOT exempt from IAE (cifra de negocios ≥ 1.000.000 € and not in an exemption period), submit Modelo 840 to register the new epígrafes with quota (https://sede.agenciatributaria.gob.es/Sede/tributos/impuesto-actividades-economicas.html).
- 6.If the new activity happens in a new premises, keep the lease/assignment and have the referencia catastral: AEAT asks for it on the 036 and you'll need it for municipal licences.
