Legalising a company: NIF, registration and mandatory company books
You set up a company and want it properly legal: NIF (provisional and definitive) at the AEAT, registration in the Registro Mercantil and electronic legalisation of the company books. This is for anyone creating an SL/SA who doesn't want surprises later with Hacienda or the Registro.

- 1.Go to sede.agenciatributaria.gob.es > Censos > Modelo 036 and request the company's provisional NIF, attaching the escritura and the DNI/NIE/passport scans of the partners/administrator. Sign with Cl@ve or digital certificate.
- 2.Submit the escritura for registration at the Registro Mercantil Provincial (the notary usually sends it electronically; if not, use the sede of registradores at registradores.org and pay the aranceles).
- 3.Once the company is registered, go back to sede.agenciatributaria.gob.es and use Modelo 036 to change the provisional NIF to the definitive one, attaching the certificación/hoja registral.
- 4.Register the company in the tax census (Modelo 036: IAE epígrafes, relevant IVA/IRPF obligations). Do this also at sede.agenciatributaria.gob.es with Cl@ve/certificate.
- 5.Prepare the company books: generate the files (Libro de Actas, Libro Registro de Socios/Acciones, Libro de Contratos con socio único if applicable) with the registradores tool (Legalia or another) and sign them with the representative's certificate.
- 6.Legalise the books electronically at the Registro Mercantil site (registradores.org > Registro Mercantil > Legalización de libros), upload the signed ZIP, pay the derechos and download the receipt.
