Registration in the Registro de Franquiciadores

What to have to hand

1. Certificado digital/Cl@ve working and AutoFirma installed (https://firmaelectronica.gob.es/Home/Descargas.html).
2. Franchisor details (CIF/NIF, address, CNAE) and the representative with power.
3. Brand: registration title at the OEPM or a licence to use in your favour (https://www.oepm.es).
4. DIP up to date (Real Decreto 201/2010) and the modelo de contrato for the franchise.
5. Annual accounts filed (or financial statements if you’re a natural person) and the audit report if applicable.
6. List of franchisees and premises in Spain with full addresses and contract dates.

Documentation

• Deed and statutes registered at the Registro Mercantil, and appointment of administrator/apoderado.
• Power of representation or apoderamiento in the REA (https://apodera.redsara.es/apodera/).
• Proof of brand: title/application at OEPM or licence contract.
• DIP complete and current (don’t upload an old version: they’ll reject it).
• Annual accounts for the last year (and audit report if required).
• List of franchisees/premises (address, municipality, CP, signing date, status).
• Franchise contract template in force.
• Traducciones juradas if anything is not in Spanish.

Step by step

1. Go to the sede: https://sede.comercio.gob.es/es-ES/tramites/Paginas/DetalleProcedimiento.aspx?IdProc=119 and log in with Cl@ve, certificado digital or DNIe.
2. Install/update AutoFirma if you don’t have it. Signing from Firefox often fails; use Chrome or Edge.
3. Open the Inscripción en el Registro de Franquiciadores and fill in: franchisor, representative, CNAE, activity start date and brand.
4. Attach the PDFs: DIP, brand title/licence, accounts, deed/powers and the list of franchisees. Keep each file under the sede limit (if a PDF is too large, split it).
5. Sign and submit with AutoFirma. Download the justificante with CSV and store it with everything you uploaded.
6. Watch the expediente in the sede or in Carpeta Ciudadana (https://carpetaciudadana.gob.es). If there’s a requerimiento, you have 10 días hábiles to fix it.
7. When registered, save the resolution/accreditation. Put updates in your calendar: changes within 3 months and an annual update with accounts/DIP.

Time‑saving tricks

• Fresh DIP: check it before uploading. If numbers or franchise counts are out of date, they’ll stop you.
• Brand: if you’re not the owner, add a licence contract with clear scope and duration. Without it, the file won’t pass.
• Clean PDFs: scan at 150‑200 dpi, B/W when possible, and electronically sign key documents.
• Representation nailed down: upload the power or use the REA to avoid back‑and‑forth.
• Control the calendar: if you open/close outlets or change contracts, prepare the modification notice early.

Typical mistakes that will mess up the process

1. Not registering within 3 months from when you start franchising: you risk penalties.
2. Outdated DIP (older than a year or with stale figures): guaranteed requerimiento.
3. Brand not proven (no title or licence): expediente archived.
4. Accounts not filed or missing required audit: they stop the registration.
5. Incomplete list of franchisees (missing CP, dates or status): more corrections required.
6. Huge files or wrongly placed signatures: the sede errors out and eats your morning.
7. Not replying to the requerimiento in 10 días hábiles: they dismiss the case and you start over.
