Register a cooperative: name, deed, Registro de Cooperativas and NIF

What you need to have to hand

1. Cl@ve PIN/Permanente or certificado digital (representative) for registros and AEAT.
2. Founding partners with DNI/NIE and full details.
3. Estatutos sociales drafted and realistic (object, membership rules, contributions, bodies, etc.).
4. Domicilio social and, if applicable, proof of availability of the premises.
5. Time to coordinate notary and registro. This is where you lose weeks.

Documentation

• Certificación negativa de denominación from the Registro de Cooperativas (autonómico/estatal).
• Proyecto de estatutos signed by the promoters.
• Escritura pública de constitución (with list of partners, contributions and órgano de administración).
• Justificante de pago de la tasa of the Registro de Cooperativas that applies to you.
• Modelo 036 at the AEAT for NIF provisional (and later another 036 for the definitivo).
• DNI/NIE of partners and appointment of administrators.
• Proof of contributions (bank receipt or expert valuation if non-cash contributions).
• In many CCAA, Modelo 600 ITPAJD at tipo 0 (if your CCAA requires it for formal purposes).

Step by step

1. Reserve the name: request the certificación negativa de denominación at the competent register. If you operate in several CCAA, go to the state register: https://www.mites.gob.es/es/economia-social/cooperativas/registro/index.htm. Watch the expiry (3–6 months depending on CCAA).
2. Draft estatutos and sign at notary: bring the name certification and the estatutos. The notary prepares the escritura with the list of partners and contributions. Ask fees beforehand.
3. Provisional NIF at AEAT: file Modelo 036 online with Cl@ve or certificado: https://sede.agenciatributaria.gob.es/Sede/censos-nif-iae.html. Mark entity in constitution, attach the escritura and download the receipt.
4. Registration at the Registro de Cooperativas: submit the escritura, estatutos and tasa (if telematic, upload clean PDFs). If it's the state register, info is here: https://www.mites.gob.es/es/economia-social/cooperativas/registro/index.htm.
5. Definitive NIF at AEAT: when you receive the nota de inscripción, file another Modelo 036 to convert the NIF to definitivo and attach the nota.
6. Census and, if applicable, Seguridad Social: use the 036 to register tax obligations (IVA/withholdings). If there will be working partners/employees, register the company and CCC in Importass: https://importass.seg-social.es.

Time-saving tips

• Use model estatutos from your federation/CCAA if available. Fewer surprises, fewer requerimientos.
• One PDF per document, no photos, and clear filenames ("Escritura_constitucion.pdf"). Some registros reject messy PDFs.
• Pay the registro fee before uploading the application and attach the receipt. Avoid back-and-forth.
• Cita previa: some registros open slots early. Log in early or try several days.
• Bank: with a provisional NIF some banks create issues. If you can, wait for the definitivo to open an operational account.

Typical mistakes that can derail the process

1. Expired or different name than the one in estatutos/escritura. They'll reject it and you lose weeks.
2. Putting the cooperative in the Registro Mercantil. Not applicable; it's the Registro de Cooperativas.
3. Forgetting the definitive NIF: you stay on provisional and AEAT can block actions.
4. Estatutos with clauses that conflict with regional law. The registro will request amendments.
5. Not filing Modelo 600 when your CCAA requires it even if exempt. They stop the registration.
6. Signatures without proof of contributions: if there's no bank receipt or expert valuation, they'll object.
